We advise clients on small corporate finance transactions typically involving first and second-round fund raising. Most recently we have acted as Financial Adviser to Trading Property Management Limited ("TPM"). This company is currently involved in a private placing to raise £8m to fund its business trading in discounted UK residential property.

TPM acquires properties from a number of sources including house-builders, mortgage-lenders, equity-release providers and receivers. Using a number of different short-term trading strategies TPM looks to acquire properties at a discount to their market value and re-sell them at, or close to market value in order to capture the price difference. Assuming TPM's trading funds are turned over three times per annum, a 50% gearing loan facility will enable TPM to trade up to £45 million of property each year. We also act as Adviser to a series of SPV's established to finance clinical trials on drugs targeting obesity and Type 2 Diabetes. The patents to these drugs are owned by Bridge BioResearch International Limited ("Bridge Bio"). Bridge Bio is a biotech company established in 2004 which seeks to "bridge" the research and funding gap between drug research carried out in academic institutions and smaller biotech companies, and the large pharmaceutical companies. The strategy of Bridge Bio is to raise development financing for pre-clinical and clinical trials ("Phase 2a trials") to establish if a drug will be effective in humans.

Bridge Bio is currently seeking to raise development funds to complete human trials of one particular drug: 2-Hydroxyoleic Acid ("2-OHOA"). 2-OHOA has potential applications for the treatment of the currently very topical and growing lifestyle condition of obesity and its closely associated condition, Type 2 Diabetes ("T2D")If testing is successful it is anticipated that the patent rights would then be sold onto a large pharmaceutical company for a significant return. The fund-raising is through an offer to subscribe for ordinary shares in three newly-incorporated companies ("SPVs").  Each SPV will raise up to a maximum of £8 million by way of an issue of ordinary shares. The SPVs will buy the exploitation rights to 2-OHOA covering T2D from Bridge Bio. Each SPV will be entitled to exploit commercially 2-OHOA in one of three regions of the world (North America, Europe and R.O.W.), but the SPVs will together commission trials for Proof of Concept in humans and, in the event the trials are successful, look to sell the rights in the drug to a large pharmaceutical company at a significant profit.
